Construction equipment heavyweight sold to international buyer

The family-owned company Nicolaisen & Larsen A/S has for more than 45 years been the Danish distributor of the British-made JCB machines for the construction industry and parts of the industry. Machines that in the industry are referred to as high-end products.

In a generational succession ownership generational succession transferred to Dutch company Royal Reesink B.V. The buyer is an international, financially strong group specializing in the distribution and servicing of complex technical equipment on the global market.

John Nygaard and Claus Bruun advised the seller in the structured sales process.

The seller looks back on an optimal collaboration.

"We are extremely satisfied with Business Brokers . We have entered into an agreement with the buyer on all the parameters we wanted. They have bought the full package thanks to John Nygaard and Claus Bruun negotiating skills," says Susanne Nicolaisen, now former co-owner of Nicolaisen og Larsen A/S.

Sale of Danish JCB distributor - with three parties in the sales process

It was Susanne Nicolaisen's father who originally established the company. Since 1975, Nicolaisen & Larsen A/S has sold and serviced products from an extensive range that includes more than 300 JCB models within agricultural and construction machinery.

For a number of years, JCB has been among the best-selling construction machines in Denmark with nationwide service - a positive development that has been realized from Nicolaisen & Larsen's headquarters in Ulfborg in West Jutland and branches in Vissenbjerg on Funen and Benløse on Zealand.

All buildings are included in the transaction.

The sale of Nicolaisen & Larsen A/S has been quite special. This is according to John Nygaard, advisor at Business Broker:

"This case has involved three parties; the seller in Denmark, the buyer candidate in the Netherlands and the manufacturer JCB in England. This constellation has made the case more complicated. It has also been special that the corona situation has made it necessary to conduct the negotiations online," he says.

Special requirements for the company's buyer candidates

Having the third player – JCB – involved in the sales process meant that Business Brokers covered both technical and commercial and financial requirements from JCB in England for potential buyers. Royal Reesink meets these parameters, as the company has the necessary expertise without being in direct competition with JCB products.

Susanne Nicolaisen has found that Business Broker paved the way for a successful sales process despite the special circumstances.

"We couldn't have done without Business Broker the process. The two advisors had a fantastic overview, even though we had JCB on our backs. John Nygaard and Claus Bruun were one step ahead the whole way. They anticipated scenarios and took control in a very professional manner," she says.

Buyer of Nicolaisen & Larsen A/S is expanding rapidly

The sale of Nicolaisen & Larsen A/S to the Dutch buyer is an optimal match. Royal Resink wants to keep the name Nicolaisen & Larsen A/S and the three Danish locations. In addition, they have already drawn up growth plans.

Nicolaisen & Larsen A/S is the second Danish company acquired by Royal Resink, with a third on the way. This gives them a strong foundation for a business focus in Scandinavia. Just a few weeks after the change of ownership, the new owners are already recruiting new employees for Nicolaisen & Larsen A/S. They are pushing ahead with an expansion phase that builds on the seller's many years of work," says Claus Bruun from Business Broker.

For seller Susanne Nicolaisen, it is important that the buyer develops on the foundation the family has created:

"I feel really good that Royal Reesink has taken over the entire company - name, employees and buildings. It's a good feeling to hand over the company to a buyer that has muscle and wants to move forward," she says.
