Niche carrier strengthens network after sale

TLS A/S specializes in transporting technical equipment and sensitive goods such as coffee machines, copiers, and medical scanners. As part of a generational succession , the company generational succession now merged with DANX, which focuses on distributing time-critical spare parts at night, among other things.

Both companies have their roots in Denmark and operate in Scandinavia. DANX also operates in the Baltic countries. The acquisition consolidates both companies and strengthens the network of routes, warehouses etc.

Strong interest in acquiring niche carriers

Three partners from Business Broker advised TLS throughout the sales process. They are Claus Bruun , Michael Vadgaard Jørgensen, and Klaus Termansen.

"We have completed a structured sales process with a large number of buyer candidates in Denmark and abroad. There is great interest. It's clear to us that major consolidation is taking place within transportation and logistics," says Michael Vadgaard Jørgensen.

Only two years ago, DANX itself was acquired by the private equity fund Axcel and merged with the British company Carousel to form DANX Carousel Group. Axcel works with investments in growth companies and in this connection also focuses on growth through acquisitions.

"Transport companies with special niches, such as TLS, are attractive because they often have a loyal customer portfolio. It is better to be highly competent in a few areas than semi-competent in many," explains Claus Bruun .

TLS achieves good synergies with new owner

TLS and DANX achieve good synergies with the business deal.

By joining forces, they can reduce the number of empty transports and optimize distribution and thus the customer service experience. It will also enable new strategic investments and improve the product offering across Europe.

TLS and DANX share culture and values

TLS will continue as an independent brand, and Claus Huss, who was owner-manager and CEO of TLS, will continue in the new management team.

"The seller remains with the company alongside his key employees. We often see this in generational succession. It is usually also in the buyer's interest. It provides continuity in the company's operations and makes it easier to maintain good contacts in the customer portfolio," says Klaus Termansen.

Therefore, selecting buyer candidates with similar culture and norms is also central to a structured sales process.

"That's why we work with the seller to assess not only key figures and financial gains, but also personal chemistry and the buyer's way of doing business," Michael Vadgaard Jørgensen points out.

In this case, TLS and DANX share values and company culture and have a common belief that investing in people is central to the success of unique transportation solutions and thus continued growth of the companies.
